Terms and conditions

Last updated: 17 October 2026 (version 1)

In short

These terms cover my website packages, operation, the dashboard, the calendar sync and the licence for the guide. All prices are final prices. The data from your website is yours. The website offers are aimed at businesses.

§ 1 Scope and provider

(1) These General Terms and Conditions apply to all contracts between Carlos Ortiz Liz, sole proprietor (ditta individuale), Via San Rocco 34, 67030 Vittorito (AQ), Italy, VAT number (Partita IVA) IT02185210669 (“I”), and you as the customer (“you”) for the services on this website. My contact details are in the legal notice.

(2) The services in sections 3 to 9 (website packages, operation, dashboard, calendar sync) are aimed exclusively at businesses, meaning people and companies acting in the course of their trade, business or profession. You confirm this with a checkbox when you order. The guide (section 10) can also be bought by consumers.

(3) Terms of your own that differ from or add to these apply only if I have confirmed them in writing. Individual agreements in text form (for example by email) take precedence over these terms.

(4) Statutory rights that cannot be excluded remain unaffected. This applies in particular to consumers, should a contract with a consumer come about despite paragraph 2.

§ 2 Contract formation, prices and payment

(1) The presentation of the services on the website is an offer to enter into a contract. The contract is concluded when you complete your order in the shop and the payment at Stripe succeeds. You receive a confirmation and an invoice by email.

(2) All prices are final prices in euros. I am in the Italian flat-rate scheme (regime forfettario) and do not charge VAT. The invoice carries the legal note under Art. 1, paragraphs 54 to 89, of Italian Law No. 190/2014.

(3) Payment is made through Stripe (Stripe Payments Europe Limited). For website packages and the calendar sync you pay the full price when you order, for the dashboard monthly in advance by subscription, and for operation as we agree. You enter payment details only at Stripe; I do not see them. Stripe’s own terms also apply.

(4) If a payment fails or is charged back, I may pause my work until the payment is made up. For subscriptions I tell you by email beforehand.

§ 3 Website packages

(1) I build your website at a fixed price. The packages “Website” (€1,499), “Website + booking” (€2,499) and “Complete” (€2,999) include exactly the scope described on the website for that package, as it stood there when you ordered.

(2) After the order we agree on the content and the process together. I give you a schedule as soon as I have your content. Dates are estimates unless we expressly agree that a date is binding. The schedule shifts if you deliver content or access later (section 4).

(3) Requests beyond the described scope I take on only after a separate quote. The package price does not change as a result.

(4) Third-party services such as the domain, payment service, map data or email delivery are included only if the package says so. Costs your own provider charges for them are yours.

(5) After acceptance (section 5) I put the website live on your domain (go-live). Operation under section 7 starts at go-live, if you have booked it.

§ 4 Your cooperation and your content

(1) You deliver texts, photos, logos, prices, access (for example to your domain) and decisions on time and in a usable form. I help you with this and tell you what I need.

(2) You confirm that you hold all the rights needed in the content you give me (copyright, trademark, personality rights, rights of people shown). You hold me harmless against third-party claims arising from content you delivered without those rights. I do not check delivered content for legal compliance.

(3) You are responsible for the content of your website, including statements on prices, services and cancellation terms. Where the package includes them, I add the legal notice, privacy policy and other mandatory texts as drafts. They are not legal advice. Have them reviewed before you publish them.

(4) If, after two reminders, you have not delivered the necessary content or access within 30 days, I may end the work. The package then counts as performed to the extent I could implement it up to that point. Services already rendered remain payable.

§ 5 Acceptance and defects

(1) When the website is finished I tell you and make it available for review. You review it within 14 days and report defects in text form. Defects are deviations from the agreed scope, not matters of taste.

(2) If you do not respond within this period or you use the website in live operation, it counts as accepted. I point out this consequence when I notify you.

(3) I remedy reported defects within a reasonable time. Defects you discover only later you report within 60 days of discovery. In all other respects the rights in case of defects follow the statutory provisions (Art. 1667 of the Italian Civil Code), unless these terms provide otherwise.

(4) Changes after acceptance (new texts, new pages, rebuilds) are not part of remedying defects. Small changes are included in operation, as far as the booked package provides.

§ 6 Rights of use and your data

(1) After full payment you receive an exclusive right of use, unlimited in time and territory, to the website built for you (design, texts, images and the code I wrote for you). You may run it, change it, develop it further and have others maintain it. Until full payment you have a provisional right of use for review.

(2) Excluded are building blocks that existed before your order or are of general use (my templates, components, tools, my know-how) and third-party software. For these you receive a non-exclusive, perpetual right of use to the extent you need them for your website. Open-source components are subject to their own licences. I may reuse general knowledge and components that are not specific to you in other projects.

(3) The data generated through your website is yours: bookings, guest data, enquiries, measurements and content. I use it only to perform the contract. On request I hand it over in a common format (for example CSV or JSON), especially when the contract ends.

(4) On request you receive the source code of your website, if it has been paid in full. Operation on my infrastructure (hosting, booking system, measurement) is not handed over as software. It is an ongoing service under section 7.

§ 7 Operation and availability

(1) Operation covers hosting, maintenance and measurement for your website, as stated in the package. It starts at go-live. The price is shown on the website (currently €49 per month) and is agreed with you expressly and separately.

(2) I work to keep availability high but do not owe uninterrupted service. There may be maintenance windows, disruptions at suppliers (for example hosting, payment service, domain) and force majeure. I do not promise 100% availability. I announce planned maintenance if it noticeably restricts the site.

(3) Operation runs for an indefinite period and can be terminated with one month’s notice to the end of a month, unless we have agreed otherwise in writing. Send the notice by email to carlos.ortizliz@gmail.com. If you terminate, I hand over the website and the data under section 6 on request, as long as it has been paid in full. After operation ends I take the website down on my side and delete the data no later than 30 days later.

(4) Either party may terminate without notice for good cause. For me, good cause exists for example if you publish unlawful content or if payments stay unpaid despite a reminder.

§ 8 Dashboard for existing websites

(1) The dashboard measures what happens on your existing website. You pay a one-time setup (€199) and then monthly (€19) by subscription through Stripe. Setup includes one line of code in your site, your access and a short walkthrough.

(2) The subscription runs monthly and can be cancelled at any time to the end of the paid month, by email to carlos.ortizliz@gmail.com or in the Stripe customer portal. Until then you can use the dashboard. After that your access ends. Monthly amounts already paid are not refunded pro rata.

(3) After your access ends I delete your measurement data no later than 30 days later. During that time I hand it over as an export on request. You remove the code from your website, or I remove it on request.

(4) The measurement is designed for numbers that are as accurate as possible. It can deviate, for example because of ad blockers, automated traffic or outages. You may use the figures for your decisions, but they are not guaranteed values. Which notices your website needs because of the measurement is your decision. This is not legal advice.

(5) If you have a website package with operation from me, the dashboard is included in operation and you do not pay for it separately.

§ 9 Calendar sync

(1) The calendar sync (iCal) costs €99 per property, one-time. It is available only for websites that use my booking system.

(2) Only occupied days are synced, not prices, minimum stays or other details. My system syncs at regular intervals (currently every 30 minutes). Booking portals such as Booking.com and Airbnb fetch the data at their own, often longer intervals and decide these themselves. As a result, double bookings can occur. I give no guarantee against double bookings.

(3) I am not liable if portals change or switch off their interfaces, their iCal function or their terms. Whether a portal allows the sync for your property we clarify before setup; the decision lies with the portal.

(4) You remain responsible for checking your calendars, especially for short-notice bookings. In case of a conflict the dashboard shows you a notice.

§ 10 Guide for Claude AI (digital plugin)

(1) The guide (“webseiten-bau”) is sold by Stripe as the merchant (Stripe Managed Payments). The purchase contract for the guide is between you and Stripe. Price, tax, receipt and withdrawal follow the checkout process and Stripe’s terms. For the guide, these terms govern only the licence of use.

(2) You receive a personal, non-transferable licence to use the guide for an unlimited period, for your own websites and for your clients’ websites. All 1.x versions are included. The licence is tied to your licence number.

(3) You may not pass on, sell, lend or publish the guide or its files themselves, or share your licence number. The websites you build with it are yours and you may use them freely.

(4) In the checkout, consumers expressly agree that the download starts immediately and thereby lose their right of withdrawal (Art. 59(1)(o) of the Italian Consumer Code; Art. 16(m) of Directive 2011/83/EU). Businesses have no right of withdrawal.

(5) The guide helps Claude build websites. What Claude produces in an individual case can contain errors. You check the results, especially legal texts, price information and booking flows, before you publish them. Liability is governed by section 12.

§ 11 Businesses and consumers

(1) The offers in sections 3 to 9 are aimed exclusively at businesses. I do not enter into contracts with consumers for them. If you confirm at checkout that you are a business although you are not, you bear the consequences of the incorrect statement.

(2) If a contract with a consumer nevertheless comes about, the consumer’s statutory rights remain unaffected, including any statutory right of withdrawal. Deviating rules in these terms then apply only as far as the law allows.

§ 12 Liability

(1) I am liable without limit for intent and gross negligence, for injury to life, body and health, and in all cases where the law does not permit a limitation (Art. 1229 of the Italian Civil Code).

(2) In case of slight negligence I am liable only for foreseeable damage typical of the contract, and at most up to the order value. For ongoing services (operation, dashboard) that is the amount you paid in the twelve months before the damaging event.

(3) I am not liable for lost profit, missed bookings and indirect damage, as far as the law permits. I am not liable for outages or changes at third parties I have no influence over (hosting and payment services, booking portals, search engines, domain providers).

(4) Claims against me become time-barred within the statutory periods. Liability for content you supply or change yourself lies with you.

§ 13 Data protection and data processing

(1) How I process data on this website is explained in the privacy policy.

(2) If I process personal data of your guests or visitors for you (for example bookings, enquiries or measurement data in operation and in the dashboard), I act as a processor under Art. 28 GDPR and you are the controller. We conclude the data processing agreement (DPA) on request, at the latest when operation or the dashboard starts. Write to me at carlos.ortizliz@gmail.com. I process this data only on your instructions, use sub-processors (for example hosting) only under suitable contracts, and delete or return the data when the contract ends (sections 7 and 8).

(3) You make sure your guests receive the necessary information in your privacy policy.

§ 14 Naming you as a reference

I name you or your website as a reference (for example with name, logo or link) only with your consent. You can withdraw consent at any time by email, and I will then remove the mention at the next opportunity.

§ 15 Changes to these terms

(1) Existing contracts are governed by the terms as they stood when you ordered. For ongoing services (operation, dashboard) I may change the terms for the future where there is an objective need, for example because of new laws or new features.

(2) I tell you about the change by email at least 30 days before it takes effect. If you do not object within this period, the new version applies. If you object, you can terminate the contract as of the change date, and the old version continues to apply until then. I point out these consequences in the notice.

§ 16 Governing law, jurisdiction and dispute resolution

(1) Italian law applies. The UN Convention on Contracts for the International Sale of Goods is excluded. Mandatory consumer protection rules of the country where a consumer habitually resides remain unaffected.

(2) For disputes with businesses, the court with jurisdiction over my place of business is competent, currently the Tribunale dell’Aquila. I may also sue you at your general place of jurisdiction. For consumers the statutory jurisdiction applies.

(3) I do not take part in proceedings before a consumer arbitration body. The European Online Dispute Resolution platform (ODR platform) has no longer existed since 20 July 2025, so no reference to it is needed. If there is a problem, write to me directly. We will sort it out.

§ 17 Language and final provisions

(1) These terms are available in German, Italian and English. The version in the language of the page on which you order applies to the contract. In case of doubt about interpretation, the Italian version prevails, because Italian law applies and disputes in Italy are conducted in Italian.

(2) If any provision of these terms is invalid in whole or in part, the rest remains valid. In place of the invalid provision, the valid provision that comes closest to its purpose applies (severability clause).

(3) Amendments and additions to the contract require written form. Declarations by email are sufficient.

§ 18 Express approval of individual clauses

As a business, by placing your order you expressly confirm that you have read and specifically approve in writing the following clauses (Arts. 1341 and 1342 of the Italian Civil Code): § 2(4) (suspension on non-payment), § 4(2) and (4) (indemnity, termination for lack of cooperation), § 5(2) and (3) (deemed acceptance and time limits), § 7(2) to (4) (availability, termination, deletion), § 8(2) to (4) (cancellation, deletion, measurement deviations), § 9 (limits of the calendar sync), § 10(3) (licence limits), § 12 (liability), § 15 (changes to the terms) and § 16(1) and (2) (law and jurisdiction).
